PriceField Terms of Service

These Terms of Service (the “Terms”) are an agreement between you and Pricefield, Inc., a Delaware corporation with Delaware file number 10406226, of 1111B S Governors Ave, STE 580, Dover, Delaware 19904, USA (“PriceField,” “we,” “us,” or “our”). Pricefield, Inc. is also the app's seller and publisher in Apple App Store Connect. These Terms govern your access to and use of the PriceField mobile application, pricefield.ai, APIs made available to you, and related services (together, the “Service”).

Please read these Terms and the PriceField Privacy Policy before using the Service. If you do not agree, do not use the Service.

1. Agreement and changes

These Terms take effect when you affirmatively accept them during account creation. The acceptance control will link to these Terms and the Privacy Policy, and PriceField will record the acceptance date and the versions presented.

If you use the Service for a company, farm, association, or other organization, you represent that you are authorized to accept these Terms for that organization. In that case, “you” includes both you and the organization, except where the context concerns an individual right.

We may update these Terms. We will post the updated Terms, change the “Last updated” date, and provide at least 30 days’ advance notice of a material change by email, a prominent in-app notice, or both. A change may take effect sooner when reasonably necessary to comply with law or address an urgent security or safety issue; where practicable, we will explain the reason and provide notice as soon as reasonably possible. If the law requires your consent, the change will not apply until consent is obtained. Changes will not retroactively reduce rights that cannot lawfully be reduced.

2. Eligibility

You must be at least 18 years old and legally able to enter into these Terms in your country.

PriceField is intended to be offered worldwide, subject to platform availability and applicable law. Availability and individual features may differ by country or region. You must not use the Service where it is unlawful or if you are barred under applicable trade, sanctions, export-control, or other law.

3. Accounts and security

You agree to:

  • provide accurate, current information and keep it up to date;
  • keep your device, email account, authentication method, passkeys, and credentials secure;
  • not share an individual account or allow an unauthorized person to use it;
  • notify us promptly at support@pricefield.ai if you suspect unauthorized access; and
  • take responsibility for activity under your account to the extent permitted by law, except activity caused by PriceField's breach of its obligations.

Authentication is provided using Clerk. You may also be able to choose Apple, Google, or Facebook sign-in. Your use of an identity provider is also governed by that provider's terms. You authorize us and our authentication provider to receive the account information you approve for sign-in and account linking.

We may require verification, refuse a misleading or infringing username, or take reasonable steps to protect an account or the Service. We will not ask you to send us your plain-text password.

4. Workspaces, organizations, and authority

The Service lets users create or join workspaces for farms, businesses, and other organizations. A workspace may include owners, members, job roles, permissions, invitations, business profiles, farm information, files, and relationships with other workspaces. The person who creates a workspace receives Owner permission, and a user with Owner permission may grant Owner permission to other users.

If you create, administer, or act for a workspace, you represent that:

  • you have authority to act for it and provide its information;
  • you have the necessary rights and notices to provide personal information about members, invitees, contacts, and representatives;
  • business, farm, relationship, and verification information you submit is accurate and not misleading; and
  • you will manage membership and permissions appropriately.

Owners and other authorized roles may manage workspace membership, settings, and organization content to the extent shown in the Service. You must give permissions only to people authorized by the organization and review or remove those permissions when responsibilities change. PriceField may rely on actions taken through an account holding the relevant permission unless we reasonably believe the action is unauthorized or unlawful.

PriceField is not a party to disputes between workspace members or between organizations, but we may take reasonable action to protect users or the Service and comply with law.

5. The Service and informational content

PriceField provides tools for professional profiles, social and workspace relationships, community content and messaging, agricultural operations, farms and crops, market information, watched topics, maps, weather, climate analysis, yield and cost analysis, news, and related features. Features may be experimental, incomplete, or unavailable in some places.

5.1 No professional or guaranteed advice

PriceField information, including market prices, weather, climate scores, yield estimates, cost benchmarks, news, and community content, is for general informational and operational-support purposes. It is not financial, investment, trading, legal, tax, insurance, agronomic, veterinary, engineering, safety, or other regulated professional advice.

Agricultural and market outcomes depend on local conditions and can change quickly. Weather and climate data can be delayed, estimated, incomplete, or inaccurate. Do not rely on the Service as the sole basis for planting, harvesting, chemical application, irrigation, equipment control, worker safety, investment, credit, insurance, or other decisions that could cause material loss or harm. Check critical information against qualified local professionals, official warnings, equipment instructions, and primary sources.

We do not promise a particular yield, cost, price, buyer, seller, business relationship, result, or return.

5.2 External news, market, map, and weather material

The Service can display or link to information supplied by third parties, including article publishers, Mapbox, Open-Meteo, market-data sources, and community users. Third-party material may be protected by separate rights and is provided subject to applicable source notices, attribution, and terms. Opening an original article or external link takes you to a service we do not control.

6. Your content

“Your Content” means information or material you submit to the Service, including profiles, workspace and farm information, posts, comments, direct messages, reports, photos, documents, relationship evidence, and feedback. It does not include software or content owned by PriceField or another person.

6.1 Ownership

As between you and PriceField, you retain the rights you have in Your Content. These Terms do not transfer ownership of Your Content to PriceField.

6.2 Licence needed to operate the Service

You give PriceField a non-exclusive, worldwide, royalty-free licence to host, store, copy, transmit, format, adapt for technical compatibility, display, and otherwise process Your Content only as reasonably necessary to:

  • provide it to the audience and workspace participants you select or the feature specifies;
  • operate, secure, support, moderate, and improve the Service;
  • make backup and disaster-recovery copies;
  • comply with law and enforce these Terms; and
  • use service providers for those purposes under appropriate terms.

This licence is sublicensable only to our service providers and to other users to the limited extent a Service feature lets them view, respond to, or reshare the content. It ends when Your Content is deleted from active systems, except for copies retained in isolated, encrypted backups for up to 90 days; for legal obligations, dispute evidence, safety, or fraud prevention; or where content was copied or reshared by another user outside our control. Backup copies will not be used for ordinary operations, and deletion will be reapplied if a backup is restored, unless a valid legal hold applies. Direct-message copies retained while another active participant keeps the conversation remain licensed only as needed to store, secure, and display that conversation, and a departed sender will be shown as “Deleted user.”

We will not use private direct-message content or private relationship evidence in public marketing without separate permission.

This operating licence does not authorize a provider to use Your Content independently for advertising. PriceField will configure Microsoft Clarity to exclude or mask private messages, relationship evidence, credentials, sensitive fields, and other content that cannot lawfully be subject to Microsoft's independent processing.

6.3 Your responsibilities

You represent that you have the rights and permissions needed to submit Your Content and permit the uses in these Terms. You must not submit content that violates law, another person's privacy, confidentiality, data-protection, publicity, intellectual-property, or other rights.

Before providing another person's information, you must have a lawful basis and give any required notice. Avoid placing sensitive personal information, secrets, authentication credentials, or information subject to a third-party confidentiality restriction in a public field, report, message, or session that could be processed by operational tools.

6.4 Feedback

If you voluntarily give us product ideas or feedback, you grant us a perpetual, irrevocable, worldwide, royalty-free right to use it without restriction or compensation, provided we do not identify you publicly without permission. This does not apply to personal information, which remains governed by the Privacy Policy.

7. Public, private, and workspace content

The audience for content depends on the feature and settings. Current post creation uses an “everyone” audience. Public profiles and workspace profiles can include images and other information visible to users or the public. Direct messages are intended for conversation participants, and private workspace files are intended for authorized participants, but they are stored by PriceField and are not represented as end-to-end encrypted.

Privacy, block, mute, and searchability controls do not guarantee that previously disclosed information will be removed from another person's device or copies. Workspace owners or administrators may exercise the access and control rights shown for their roles in the Service, as described in Section 4. Do not share information with an audience unless you are comfortable with that audience receiving it.

The private setting does not make prior posts or profile and cover images private; connections_only does not restrict every direct public-profile route; and turning off searchability removes a profile from discovery results but does not block a direct profile link.

8. Acceptable use

You must not use the Service to:

  • break the law, violate sanctions or export controls, or facilitate illegal conduct;
  • threaten, harass, abuse, exploit, stalk, discriminate against, or impersonate a person or organization;
  • publish unlawful, defamatory, fraudulent, deceptive, hateful, sexually exploitative, or violent content;
  • solicit or expose a child's personal information unlawfully;
  • infringe privacy, confidentiality, intellectual-property, publicity, database, or other rights;
  • send spam, scams, unsolicited bulk messages, pyramid schemes, or deceptive promotions;
  • upload malware or attempt phishing, credential theft, or unauthorized access;
  • scrape, harvest, copy, or monitor the Service or its users by automated means except through an expressly authorized interface;
  • reverse engineer, bypass access controls, probe vulnerabilities, interfere with availability, overwhelm infrastructure, or evade usage limits, except to the limited extent a restriction is prohibited by law;
  • use another person's credentials, falsify identity or business authority, or manipulate engagement, reports, prices, or analytical inputs;
  • upload regulated, highly sensitive, or confidential data where the feature is not designed and approved for it; or
  • help another person do any of the above.

We may use reasonable technical measures and investigate suspected misuse. Our enforcement must comply with applicable law and the notice and appeal process in Section 9.

9. Community safety, reports, and moderation

Users can report certain content and block or mute other users. We may review reported or suspected content and related account, message, relationship, or technical information as reasonably necessary to enforce these Terms, protect safety, or comply with law.

We may reduce visibility, remove content, limit a feature, preserve evidence, warn a user, suspend an account, or terminate access when we reasonably believe these Terms or law have been violated or action is necessary to protect the Service or others. Moderation is not a promise that we will identify or remove every harmful item, and users remain responsible for their interactions.

Where required, we will give notice of the reason and a meaningful opportunity to appeal, unless doing so would create risk, compromise an investigation, or be legally prohibited. Reports, urgent safety issues, and appeals may be sent to support@pricefield.ai.

If you believe content infringes copyright or another intellectual-property right, send a notice to support@pricefield.ai that identifies you, the protected work or right, the challenged content and its location, and the basis for your claim. Include any statements required by applicable law. We may request information reasonably needed to assess the notice.

10. PriceField's rights

Pricefield, Inc. owns, or holds written assignments or licences covering, the PriceField-created software, designs, interfaces, documentation, copy, branding, and logos. Those materials are protected by law. Third-party materials and data remain subject to their applicable licences and ownership rights. Except for the limited licence below, PriceField reserves all rights it holds.

Subject to these Terms, we give you a personal, limited, non-exclusive, non-transferable, non-sublicensable, revocable licence to use the Service for its intended purposes during the term. You may use it for authorized internal business purposes but may not sell, lease, distribute, or commercially provide access to the Service without our written permission.

Open-source components are governed by their applicable licences. If an open-source licence conflicts with these Terms for that component, the open-source licence controls.

Pricefield, Inc. owns the “PriceField” name and associated branding and logos. You may not use them in a way that suggests endorsement or affiliation without written permission.

11. Third-party services and terms

The Service depends on or links to third-party services, including Clerk, optional Apple/Google/Facebook authentication, Microsoft Clarity, Sentry, Mapbox, Open-Meteo, Expo, email delivery, cloud hosting and storage, and external publishers. Those providers can apply their own terms and privacy notices to their relationship with you or their independent processing. We are not responsible for an external service's content or conduct, but this does not limit responsibility that applicable law places on PriceField for choosing and managing its providers.

You must comply with applicable third-party terms when using the Service, including your mobile network and app-store terms. Map and data attribution must remain visible as required by the applicable provider licence.

12. Communications

We may send transactional communications needed for accounts and the Service, such as email verification, password reset, workspace invitations, security notices, and important operational notices.

PriceField will not send promotional marketing or weekly digest emails at launch. If we introduce them later, we will first update the applicable notice and controls, use the permission or other basis required by law, and include a way to opt out where required.

Carrier, data, and internet charges may apply.

13. Fees and paid services

PriceField will not offer paid plans, trials, in-app purchases, or other fees at launch. The Service does not collect payment-card details or provide checkout at launch. References to “subscriptions” in the product concern following a topic or market, not a paid plan.

Before introducing a fee, PriceField will provide separate paid-service terms explaining the price, currency, taxes, billing provider, renewal, cancellation, refund, trial, entitlement, and app-store rules and will request any agreement required by law.

14. Availability and changes to the Service

We may add, change, suspend, or discontinue a feature for legitimate operational, security, legal, or business reasons. We do not promise uninterrupted availability or that every error will be corrected. If a change materially reduces a paid commitment, the applicable paid agreement and mandatory law will govern remedies.

We may release updates. Some mobile updates may be delivered through Expo's update service. You may need a supported app or operating-system version to continue using the Service.

15. Suspension, termination, and account deletion

You may stop using the Service at any time. To request account deletion, go to Settings → Security → Delete account, verify your identity, and confirm the request. If you cannot access the app, contact support@pricefield.ai. Following a verified request, PriceField will delete or appropriately de-identify information within the account-deletion scope from active systems within 30 days, except where retention is legally required or subject to a valid legal hold.

We may suspend or terminate access if you materially breach these Terms, create a security or legal risk, fail to cure a remediable breach after reasonable notice, or if we are legally required to act. We may act without advance notice where immediate action is reasonably necessary, but will provide an explanation and appeal opportunity where required and safe.

When an account is deleted, PriceField will delete that user’s public posts, comments, media attached to that public content, and personal-only drafts and records from active systems. Organization-owned workspace and farm records will remain available to the organization, but the deleted user’s identity will be removed or replaced unless needed for security, audit, or legal reasons. A direct-message conversation may remain while another active participant keeps it, but the departed sender will be shown as “Deleted user.” After every participant deletes the conversation or their account, PriceField will delete it from active systems within 30 days. Relationship-verification files will be deleted within 30 days after the decision becomes final or any appeal ends; only the result and minimal audit metadata may remain for 24 months. Access-restricted abuse reports, moderation decisions, and related safety evidence may remain for 24 months after case closure or account deletion. These evidence or safety periods may be extended when legally required or subject to a valid legal hold; moderation records may also be extended for an active investigation or dispute. Deleted personal information may remain in isolated, encrypted backups for up to 90 days and longer if subject to a valid legal hold. Deletion and termination do not automatically erase every other record. The Privacy Policy explains the remaining deletion and retention rules, including other legally required records and provider copies.

Sections that by their nature should survive will survive, including ownership, accrued payment duties (if any), licence exceptions for retained copies, disclaimers, liability limits, dispute terms, and enforcement provisions.

16. Disclaimers

Nothing in these Terms excludes a warranty, guarantee, remedy, or right that cannot lawfully be excluded.

To the maximum extent permitted by law, the Service and all information made available through it are provided “as is” and “as available.” PriceField disclaims implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and accuracy. We do not warrant that the Service will be uninterrupted, secure, error-free, complete, or suitable for a particular farm, crop, location, transaction, or decision.

User and third-party content reflects its source, not PriceField. We do not endorse or guarantee a user, workspace, business, relationship, listing, article, price, forecast, map, or external service merely because it appears in PriceField.

17. Limitation of liability

Nothing in these Terms limits liability that cannot lawfully be limited.

Subject to those exceptions, to the maximum extent permitted by law:

  • PriceField and its affiliates, officers, employees, and licensors will not be liable for indirect, incidental, special, exemplary, punitive, or consequential loss, or for lost profits, revenue, opportunity, goodwill, anticipated savings, crops, data, or business interruption; and
  • PriceField's total aggregate liability arising from the Service or these Terms will not exceed the greater of US$100 or the total amount you paid PriceField during the 12 months immediately before the event giving rise to the claim.

The exclusions and cap apply only to the extent permitted by law and do not affect rights or remedies that cannot be waived.

18. Indemnity

This section applies only when you use the Service for a business or organization. It does not apply to an individual using the Service solely in a personal capacity.

If this section applies to you, you will defend and indemnify PriceField and its affiliates, officers, and employees from third-party claims, damages, and reasonable costs arising from: (a) Your Content; (b) your breach of Sections 4, 6, or 8; or (c) your violation of another person's rights. This obligation does not apply to the extent a claim results from PriceField's breach, negligence, or unlawful conduct. We will give prompt notice, allow you reasonable control of the defense, and may participate with our own counsel. You may not settle a claim in a way that admits fault or imposes obligations on PriceField without our written consent.

19. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws rules. Except where mandatory law gives you the right to bring a claim elsewhere, you and PriceField submit to the exclusive jurisdiction of the state courts of Delaware and the United States District Court for the District of Delaware.

These Terms do not require arbitration and do not contain a class-action waiver. If you are a consumer, this section does not deprive you of any mandatory protection or forum available under the law of your place of residence.

Nothing prevents either party from seeking urgent injunctive relief where law permits, or from making a complaint to a regulator or exercising a non-waivable statutory right.

20. General terms

  • Notices. Legal notices to PriceField may be sent using the contact details in Section 22. We may send notices to your account email, through the Service, or by another legally permitted method.
  • Assignment. You may not assign these Terms without our consent. We may assign them in connection with a merger, reorganization, sale, or transfer of the Service, subject to applicable notice and consumer rights.
  • No waiver. A failure to enforce a provision is not a waiver.
  • Severability. If a provision is unenforceable, it will be modified only as much as needed or severed, and the remaining provisions continue.
  • Entire agreement. These Terms, the Privacy Policy, and any additional terms that you and PriceField expressly agree to are the entire agreement about the Service, unless a signed agreement says otherwise.
  • No third-party beneficiaries. These Terms do not create third-party-beneficiary rights unless a provision expressly says otherwise. Apple's Standard EULA separately states Apple's rights under that licence.
  • Language. These Terms are written in English. If we provide a translation, it is for convenience, and the English version controls unless mandatory local law requires otherwise.

21. Apple App Store terms

If you obtain the app through Apple's App Store, the Apple Standard End User License Agreement governs your licence to the app. PriceField has chosen not to submit these Terms as a custom App Store EULA.

These Terms remain the agreement between you and Pricefield, Inc. for your PriceField account and the Service. Apple's applicable App Store, Apple Media Services, Usage Rules, and Standard EULA terms also apply to your acquisition and use of the app. If there is a conflict about the app licence or App Store distribution, Apple's applicable terms control to the extent required. You must comply with applicable third-party terms, including your mobile network terms, when using the app.
